1. Acceptance of Terms
By accessing credently.co or using the Credently application (the "Service"), you agree to these Terms of Use ("Terms"). If you do not agree, do not use the Service.
If you use Credently on behalf of a company or agency, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
Credently is a B2B software service that helps professionals and teams collect client approvals on deliverables, documents, and scope changes. Features include time-bound approval links, optional e-signature, tacit-consent deadlines (silence may be treated as approval according to settings you configure), audit logs, and downloadable approval certificates.
Credently provides workflow and record-keeping tools. We do not provide legal advice. You are responsible for ensuring your approval process complies with applicable law, client contracts, and industry rules in your jurisdiction.
3. Account Registration
To create approval requests you must register for an account. You agree to:
- Provide accurate registration information and keep it up to date.
- Maintain the confidentiality of your password and account credentials.
- Notify us promptly at hello@credently.co if you suspect unauthorized access.
- Accept responsibility for activity under your account.
4. Acceptable Use
You may use Credently only for lawful business purposes. You must not:
- Send approval requests to recipients without a lawful basis and appropriate notice.
- Upload unlawful, infringing, or malicious content.
- Misrepresent approval outcomes, forge signatures, or tamper with audit records.
- Attempt to bypass plan limits, scrape the Service, or reverse engineer our software.
- Use Credently to harass clients or send unsolicited bulk messages.
- Resell or sublicense access without our written consent.
5. Client Approval Links & Tacit Consent
When you send an approval request, Credently generates a unique link for your client. You control deadline duration, messaging, and whether e-signature is required.
If you enable a tacit-consent deadline, non-response before the deadline may be recorded as approval according to your settings. You are solely responsible for explaining this to clients and for whether such a mechanism is valid for your use case.
Approval certificates and audit logs are provided as evidence of system-recorded events. They are not a guarantee of legal enforceability in every jurisdiction.
6. Plans, Billing & Credits
Credently offers a Free plan with monthly approval quota that does not roll over, and paid plans billed through Stripe on a monthly or annual basis.
Paid plans include monthly approval credits as described on our pricing page. Top-up credits and auto-recharge behave as shown in the product at purchase time.
Fees are non-refundable except where required by law. You may cancel paid subscriptions through billing settings; cancellation takes effect at the end of the current billing period.
We may change prices with reasonable notice. Continued use after a price change constitutes acceptance.
7. Your Content & Data
You retain ownership of content you upload and client data you submit ("Customer Data"). You grant Credently a limited license to host, process, and transmit Customer Data solely to operate the Service.
You must have appropriate rights and, where required, client consent to upload personal data and to email clients through Credently.

8. Third-Party Services
Credently relies on third-party providers including Firebase (authentication and database), Stripe (payments), Resend (transactional email), and Google (optional integrations and analytics via Tag Manager). Your use of those features may be subject to their terms.
9. Intellectual Property
Credently, its logo, software, and documentation are owned by Credently and protected by intellectual property laws. Your subscription grants a limited, non-exclusive, non-transferable license to use the Service for internal business purposes.
You may not copy, modify, or create derivative works of the Service except as allowed by law.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant uninterrupted or error-free operation, or that approval records will satisfy any particular legal, regulatory, or contractual requirement.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREDENTLY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO CREDENTLY IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) USD $100.
12. Changes & Contact
We may update these Terms from time to time. Material changes will be posted on credently.co with an updated date. Continued use after changes constitutes acceptance.
